Eligibility and Accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for the information you provide, for keeping your login credentials secure, and for all activity that occurs under your account. Notify us promptly of any unauthorized use.

You retain ownership of the data and content you submit to the Service (“Your Content”), including checklists, staff records, expenses, documents, and feedback. You grant us a limited license to host, process, and display Your Content solely to operate and improve the Service for you. You are responsible for ensuring you have the rights to submit Your Content and that it complies with applicable law.

Acceptable Use

You agree not to:

• Use the Service for any unlawful, harmful, or fraudulent purpose.
• Upload content that infringes others’ rights or violates privacy or employment laws.
• Attempt to access data belonging to other customers or locations.
• Probe, scan, or interfere with the security or integrity of the Service.
• Reverse engineer, resell, or sublicense the Service except as permitted by law.
• Use the Service to send spam or unauthorized communications.

Subscriptions and Payments

The Service offers free and paid plans. Paid plans are billed per location on a monthly or annual basis through our payment processor. Fees are charged in advance and are non-refundable except where required by law. We may change pricing with reasonable notice; changes apply to your next billing cycle. If payment fails, we may suspend or downgrade your access until the balance is resolved.

Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period, and you will retain access until then. We do not provide prorated refunds for partial periods unless required by law.

AI-Generated Content

The Service includes features that generate content using artificial intelligence. AI output may be inaccurate or incomplete. You are responsible for reviewing AI-generated content before relying on it, and you should not treat it as legal, financial, or professional advice.

Third-Party Services

The Service relies on and may integrate with third-party providers (such as payment, hosting, and AI services). Your use of those services may be subject to their own terms. We are not responsible for third-party services we do not control.

Intellectual Property

The Service, including its software, design, and trademarks, is owned by Sideworks and protected by intellectual property laws. These Terms do not grant you any rights in the Service other than the limited right to use it as described here.

Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms, fail to pay applicable fees, or use the Service in a way that risks harm to us or other users. Upon termination, your right to use the Service ends, and we may delete Your Content after a reasonable period.

Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

Limitation of Liability

To the maximum extent permitted by law, Sideworks will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve months before the claim arose.

Indemnification

You agree to indemnify and hold Sideworks harmless from claims, damages, and expenses arising from Your Content, your use of the Service, or your violation of these Terms or applicable law.

Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, notify you through the Service. Your continued use after changes take effect constitutes acceptance of the revised Terms.

Governing Law

These Terms are governed by the laws of the United States and the state in which Sideworks is established, without regard to conflict-of-law principles. Any disputes will be resolved in the courts located there, unless otherwise required by applicable law.
